End User License Agreement — BNBHubs Hermes Integration

1. Acceptance

This End User License Agreement ("Agreement") is a binding contract between you ("User") and BNBHubs ("we", "us") covering your use of the BNBHubs Hermes Integration (the "Software"), an internal accounting integration that connects QuickBooks Online to BNBHubs' internal operations system.

By installing, authorizing, or using the Software, you accept this Agreement. If you do not accept, do not use the Software.

2. License Grant

We grant you a non-exclusive, non-transferable, revocable license to use the Software solely for connecting your QuickBooks Online account to authorized BNBHubs internal operations. The Software is provided for internal business use only and is not redistributed, sublicensed, or sold to third parties.

3. Restrictions

You agree not to:

• Reverse engineer, decompile, or disassemble the Software except as permitted by applicable law.
• Modify, adapt, or create derivative works of the Software without prior written consent.
• Use the Software to violate any law, infringe intellectual property rights, or harm third parties.
• Resell, distribute, or otherwise provide the Software to third parties.

4. Intuit QuickBooks Data

The Software accesses your QuickBooks Online data through Intuit's official API solely to perform the accounting, reporting, and reconciliation tasks you have authorized. We do not store raw account credentials. OAuth refresh tokens are stored encrypted at rest and used only to maintain the authorized connection. You may revoke access at any time by disconnecting the integration from your Intuit Developer dashboard or by contacting us.

5. No Warranty

The Software is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be error-free, secure, or uninterrupted.

6. Limitation of Liability

To the maximum extent permitted by law, in no event will BNBHubs be liable for any indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with this Agreement or the Software, even if we have been advised of the possibility of such damages.

7. Termination

This Agreement is effective until terminated. We may terminate this Agreement at any time if you breach its terms. Upon termination, you must cease use of the Software and revoke its QuickBooks Online access. Sections 5, 6, 8, and 9 survive termination.

8. Governing Law

This Agreement is governed by the laws of the State of Qatar without regard to its conflict of laws principles. Disputes arising hereunder will be resolved in the courts of Qatar.

9. Changes

We may update this Agreement from time to time. Material changes will be posted at the URL above with a new Effective Date. Your continued use after changes take effect constitutes acceptance.
